FIN 452 – Corporate Governance

Course description

In this course, conflicts of interest within the firm will be analyzed and mechanisms to mitigate these problems will be discussed. First, the lecture starts with the theoretical concepts underpinning corporate governance. Second, emphasis will be placed on different corporate governance mechanisms (for example ownership structure, executive compensation and the role of the board of directors). Students should develop an understanding of important issues in corporate governance and of its relevance in a social, political, and economic context.

Time and Venue

The lecture takes place in O 151 on Mondays from 10:15 to 11:45 am and 05:15 to 06:45 pm (one lecure takes place on Friday on an alternative date)) and Thursdays from 05:15 to 06:45 pm. The introductory lecture takes place on Thursday, February 15th, 2018. The remaining lectures begin on April 19th, 2018.

The course is taught in English. All materials and the exam will be in English.


Target Audience

Bachelor students (elective course)

Incoming students


Students will receive one final grade on this course. The final exam will be a closed-book exam and will make up 100% of the final grade. The examination time is 60 minutes. The exam may cover all materials discussed in the lecture. The time of the exam will be published by the Studienbüro during the semester
